Section,Banciao City from its parent company, FENC.

Statement

1.Name and nature of the subject matter (e.g.land located at Sublot XX, Lot XX, North District,
Taichung City):
(1) Name: One piece of land, Lot number 999,located at Banciao City,Taipei County
(2) Property:A piece of land within the development area of the Taipei Far Eastern Telecom Park.

2.Date of the occurrence of the event:2009/12/21

3.Transaction volume (e.g.XX square meters, equivalent to XX p'ing),unit price, total transaction price:
(1)LAND:59 square meters, equivalent to 17.8475 p'ing.
(2)unit price:NT$322.9 thousand per p'ing
(3)total transaction price:NT$5,762,958
4.Counterparty to the trade and its relationship with the company (if the trading counterpart is a
natural person and is not an actual related party of the Company, the name of the trading counterpart
is not required to be disclosed):

5.Where the counterpart to the trade is an actual related party, a public announcement shall also
include the reason for choosing the related party as trading counterpart and the identity of the

(1)The master design of Taipei Far Eastern Telecom Park can be improved,and the further
development of the Park can be preceded.

person of the company, a public announcement shall also include the dates and prices of acquisition
and disposal by the related person and the person’s relationship to the company at those times:NA

8.Terms of delivery or payment (including payment period and monetary amount):
(1)A.This transaction should be resolved by the board meeting at each individual company, and then
an official transaction contract should be signed by both parties.

B.Upon the transaction contract signed, an invoice for the first payment shall be issued by the seller.
Within 7 days after FERD receives the invoice, it shall pay the seller an amount of NTD 576,296.
Within 7 days after the seller receives the tax bill for land value appreciation and issues the invoice for
the second payment,FERD will pay the seller an amount of NTD 1,152,592.
After the ownership transfer is filed to the regulated authority and the seller issues the invoice for the
third payment, FERD shall pay an amount of NTD 4,034,070 within 7 days after receiving the invoice.

C.The acquired land mentioned herein is within the development area of Taipei Far Eastern Telecom
Park. Both parties have agreed that the transaction shall be deemed as completed as long as the first
two payments are made.
